Role Overview:
The Legal Manager will provide comprehensive legal support to the Bangladesh market, ensuring compliance with applicable laws while enabling business objectives. The role involves advising on regulatory matters, managing legal risks, supporting commercial operations, and handling disputes across multiple functional areas.
Key Responsibilities:
Legal Advisory & Compliance:
✓ Advise business units (Supply Chain, Finance, Marketing, HR, Corporate Affairs, etc.) on regulatory and legal matters
✓ Provide guidance on commercial law, contracts, and corporate governance
✓ Ensure compliance with laws related to employment, competition, data protection, anti-corruption, and consumer protection
✓ Support licensing processes and regulatory approvals
Contract Management:
✓ Draft, review, and negotiate commercial agreements (supply, distribution, service, and procurement contracts)
✓ Identify legal risks and ensure appropriate safeguards in contracts
Regulatory & Public Affairs Support:
✓ Monitor regulatory developments and advise on changes impacting the business
✓ Partner with Corporate Affairs & Communications (CA&C) on regulatory engagement and advocacy
✓ Provide legal support on packaging, marketing, and product compliance
Litigation & Dispute Management:
✓ Manage disputes related to taxation, employment, contracts, and regulatory matters
✓ Coordinate with external counsel and represent company interests
Corporate Governance & Ethics:
✓ Conduct corporate secretarial duties and support governance frameworks
✓ Assist in compliance investigations and business ethics matters
Training & Development:
✓ Conduct training sessions on legal and compliance topics (competition law, sanctions, documentation, etc.)
✓ Support regional and global legal initiatives and projects
Requirements:
Educational Qualification:
✓ LL.B degree from a reputed university
Experience:
✓ Minimum 7 years of post-qualification experience
✓ Lower court enrollment mandatory; High Court enrollment preferred
Core Competencies:
✓ Strong understanding of commercial law, contracts, and regulatory frameworks
✓ Excellent communication skills in English and Bengali (written and verbal)
✓ Ability to identify and manage legal and commercial risks
✓ Strong stakeholder management and cross-functional collaboration capability
✓ Solution-oriented mindset with adaptability in a complex environment
✓ Ability to work independently and within a team
✓ Willingness to travel (local and international)
